Nimble is a fixed price logo product. You fill in a brief, you pay through Square, and a senior designer draws your logo. These terms cover the whole of that: what you get, what it costs, how many rounds of changes you have, who owns the logo at the end, and what happens if you go quiet.
They are a short version of the agreement Qualls uses on its larger negotiated projects, rewritten for a purchase you make online in a few minutes. There is nothing to negotiate and nothing to sign.
If you only read two clauses, read clause 8 and clause 9. Clause 8 says that if you do not respond to your draft, we send reminders on day 4 and again on day 10 and treat the draft as approved on day 14 so we can deliver your files, and that any rounds of changes you have not used are still yours afterwards. Clause 9 says you own the logo outright once it is delivered.
Nimble is a fixed price logo product sold by Qualls (ABN 70702634887), trading as Qualls, a design practice in New South Wales, Australia. In these terms, "we" and "us" means Qualls, and "you" means the person or business buying Nimble.
There is nothing to negotiate and nothing to sign. You accept these terms when you pay. Before that, nothing is owed and nothing is promised: starting a brief, saving it, coming back to it through the link we email you, and finishing it all cost nothing and commit you to nothing.
In these terms, a "working day" is Monday to Friday, not counting public holidays in New South Wales. "Files" means everything we deliver to you for your tier, as listed in clause 2.
If you are buying for a company, partnership or trust, the person who pays confirms they are allowed to buy on its behalf. If it turns out they were not, we will deal with the business, not with them personally.
Prices are in Australian dollars. The price you see is the total you pay: nothing is added at checkout, and any GST that applies is already included in that number. Your Square receipt is your record of the payment.
The Logo. $690. First draft within 3 working days. 1 round of changes. No call. This is an introductory price. If we put our prices up, that never affects an order you have already paid for.
The Logo, Applied. $1,440. First draft within 5 working days. 2 rounds of changes. No call.
The Works. $2,995. First draft within 7 working days. 3 rounds of changes. One 30 minute call.
Every tier includes a logo drawn by a senior designer, every file format you need for web, print and sign writing, a colour palette, a font pairing, and a brand guide. The brand guide is 1 page on The Logo, 3 pages on The Logo, Applied, a hosted brand portal on The Works.
The tiers above The Logo also include a social profile and cover set, a business card and a letterhead. The Works also includes an email signature and a stationery set.
The The Works brand portal is hosted by us. We will give you notice before we ever take it down.
Editable source files, meaning the working files your designer builds in, are not part of any tier. Clause 9 explains what that means and what you can ask for.
The first draft times above are commitments, not estimates. Clause 6 says what happens if we miss one.
What you buy is the list above for the tier you chose. That list is the whole scope of the job, including the number of rounds of changes.
Nimble is a logo product, not a branding program. It does not include brand strategy, naming, positioning, messaging, market research, or a full brand program. If that is what you need, Nimble is the wrong purchase. Talk to Qualls instead and we will quote the work properly.
Nimble also does not include:
Any search of trade mark or business name registers, any advice on whether you can register or safely use your logo, and any legal advice of any kind. We draw your logo. We do not clear it. If clearance matters to you, get it done before you commit to using the mark.
Licences for the fonts in your font pairing. Fonts are made by other people, so any licence you need is between you and whoever makes the font. We will tell you before we deliver if a font we have paired for you needs a paid licence, and what it costs, so there is no surprise after you have paid us.
Printing, manufacture, signage, ordering or installation. We supply files. What you do with them is up to you.
Anything not listed in clause 2 for your tier.
You pay the full price up front, through Square, before any work starts. There is no deposit option and no invoice terms.
Payment happens on Square's own checkout. We never see or store your card details.
Work starts once your payment clears.
If a payment is reversed or charged back, we will email you and pause the work while it is sorted out. If it is still unresolved 14 days later, we can end the job and keep the part of the fee that matches the work we have done. This does not apply where the reversal was our fault or your bank's error. Once we have delivered your files they are yours under clause 9, and we do not withhold them.
Your brief is what we design from, so please make it complete and accurate. We rely on what you tell us in it.
We need three things from you. A current email address, because everything runs by email and through your private link, so if you change address or our mail is going to spam, tell us. One voice: if several people have an opinion, sort it out at your end and send us one consolidated set of comments. And answers, if we genuinely cannot keep working without something from you.
If you bought The Works, we will offer you times for your 30 minute call. If we cannot find a time before your first draft, your call stays available until your job is finished. If you would rather not have it at all, just tell us. Everything else, at every tier, happens in writing.
The first draft times in clause 2 are counted in working days from your payment.
Those times are commitments, not targets. If we are going to miss one, we will email you before it passes and give you a new date. We will not move that date again without your agreement.
If we are late, your rights in clause 12 apply. Where a delay is a major failure, that means you can cancel and get a refund. Tell us first and we will try to sort it out.
We do not give a fixed turnaround on rounds of changes, because they vary in size. We do them promptly and we tell you when to expect them.
The clock can be paused for one reason only: we genuinely cannot keep working without something from you. If that happens we will email you, say plainly that the clock is paused, and say exactly what we need. The pause runs from that email until the working day after you answer. We will not pause the clock for anything else.
Your tier includes the number of rounds set out in clause 2. That is 1 round on The Logo, 2 rounds on The Logo, Applied, 3 rounds on The Works.
A round is one consolidated set of changes, sent to us at once. If you send us more before we have started on that round, we roll it into the same round at no cost. If you send changes after we have already started work on a round, we will email you and tell you before we treat them as a new round, so you can ask us to hold off. We will never quietly use up a round without telling you first.
Changes are changes to what we drew from your brief. If you change direction, change your business name, or ask for something outside your brief, that is new work rather than a change. We will tell you when we think that line has been crossed, and what it would cost, before we do anything. If you disagree, say so, and you can ask for a change inside your original brief instead. Your round is not used up while we are sorting that out.
You can buy extra rounds. We will tell you the price before you commit, and an extra round is paid for before it starts.
This is the clause people miss, so here it is in full.
When your draft is ready we email you a private link. On that page you either approve the draft, or ask for your included round of changes. Those are the only two things you need to do.
If you do neither, we email you a reminder on day 4 and again on day 10. Both reminders tell you the exact date the draft will be treated as approved. If you have still not responded 14 days after the draft was sent, we treat the draft as approved so the job can move to delivery.
That only happens if both of those reminders have actually gone out. If a reminder does not send, the 14 days does not run and we will try to reach you another way first. A deadline nobody was told about is not a deadline.
You do not lose anything you paid for. Auto-approval closes the review step so we can deliver your files, and nothing more. Any rounds of changes included in your tier that you have not used are still yours after delivery, and you can use them by emailing us. It is quicker for both of us if you use them on the draft, but they are not taken away because you were busy.
If you need longer, say so before the 14 days are up. There is a button on your draft page that asks for more time, and it works on its own: it moves your date out by another 14 days straight away and emails you the new one. Replying to any of our emails works too.
Each new draft we send you is reviewed the same way, with the same two reminders and the same 14 days.
Auto-approval does not mean you have agreed the work is faultless, and it does not affect your rights under clause 12. If there is a genuine problem with what we delivered, tell us and those rights still apply.
Once the draft is approved, whether you approved it or clause 8 did, we prepare your files and deliver them from your private link. You can download them as many times as you like while the link is live, and we would still suggest you keep your own copy somewhere safe.
Your link stays live after delivery. We will not take it down without telling you first, and while we still hold your files we will re-supply them if you ask.
You own the final logo. We assign to you, with effect from delivery, all intellectual property rights in the final logo and the other final files listed in clause 2 for your tier. They are yours outright, worldwide, for anything you want to use them for, with no ongoing licence fee to us. If you ever need a separate signed assignment document, ask and we will sign one at no cost.
A person draws your logo. A senior designer draws it, and we do not use generative AI to create the mark. That matters legally as well as creatively: because a person drew it, copyright exists in it and we can transfer that copyright to you. We do use ordinary professional software and some of it has automated features. That does not change who drew your logo or who owns it.
We promise that your logo is original work created by our designer for you, that it is not copied from anyone else's work, and that we are entitled to transfer it to you. That is not a trade mark search, and clause 3 still applies.
Moral rights. Under Australian law a designer keeps their moral rights and cannot sell them. We hold a written consent from the designer who draws your logo, given in your favour, to you using, reproducing, adapting and changing it, and to doing so without naming them. Ask us and we will give you a copy.
What stays ours is the material behind the files: concepts and drafts you did not choose, sketches, editable working files, and the underlying templates, methods and tools we use to make everything. Templates here means our own blank setups, not the finished files we deliver to you. Everything listed in clause 2 for your tier is yours, including your brand guide and your brand portal. Where any of our own material is built into your files, we give you a permanent, worldwide, royalty free licence to use, reproduce and adapt it as part of those files, so nothing we keep gets in the way of you using what you bought.
If you want an editable working file, ask us and we will tell you whether we can supply it and on what terms.
Ownership transfers on delivery. Until then the work is ours.
Anything you send us stays yours: your logo history, photos, text, business name, and anything else.
You give us a non-exclusive, worldwide, royalty free licence to use, copy, adapt, show and disclose that material to the extent we need it to do the work and produce your files. That licence ends when the job ends, with one exception: if you have not opted out under clause 14, we can keep showing the finished work, including your material as it appears in it, in our portfolio.
By sending us material you confirm you are allowed to give it to us and allowed to let us use it in your logo. Please do not send us anything you copied from somewhere else, and do not ask us to redraw somebody else's mark.
If someone else claims that material you gave us infringes their rights, you are responsible for that claim to the extent it arises from your material. You are not responsible for anything we caused, and your responsibility under this clause is capped at the same amount as ours in clause 13.
We can decline or stop a brief that is unlawful, that infringes someone else's rights, or that asks us to produce material that is hateful, discriminatory, deceptive or sexually explicit. If we do that we will tell you why, and we will refund you in full, whatever stage the work has reached, unless we stopped because of unlawful or infringing material you gave us.
We want to be straight with you about this, because work starts as soon as you pay.
By the time you tell us you have changed your mind, a designer may already have spent hours on your logo, or may have finished it. That is the trade off for a fixed price and a first draft in a few days.
We have not set a fixed change of mind refund rule, and we would rather say so plainly than publish a rule we do not follow. If you want to cancel, email us. You do not need to give a reason. We will look at how far the work has actually got and refund you the price less a fair amount for the work already done. If you think our split is wrong, tell us and we will work it out with you.
If we cancel, or we cannot deliver what you paid for, we refund you in full. The one exception is where we stopped because of unlawful or infringing material you gave us, under clause 10.
None of this affects clause 12. If something is wrong with what we delivered, you may be entitled to a repair, a replacement or a refund under the Australian Consumer Law regardless of anything in this clause.
Nothing in these terms excludes, restricts or changes any guarantee, right or remedy that the law says cannot be excluded, restricted or changed, including under the Australian Consumer Law. We call these your Non-Excludable Rights. These terms are read subject to them, and if anything here conflicts with them, they win.
Among other things, those rights mean we must supply Nimble with due care and skill, within a reasonable time, and that what we deliver must be reasonably fit for the purpose you told us about. We promise the same, for the purposes Nimble is capable of serving as described in clause 2 and subject to the exclusions in clause 3.
If the problem is a major failure, you choose the remedy, not us. You can cancel and get a refund, or keep what we supplied and ask us to compensate you for the drop in its value. If the problem is not major, we can choose to fix it instead.
Where you did not buy Nimble for personal, domestic or household use, and where it is fair and reasonable to do so, our liability for failing to meet a Non-Excludable Right is limited, at our option, to supplying the affected services again or paying the reasonable cost of having them supplied again, and for anything supplied as goods, to replacing it or paying the reasonable cost of replacing it. That limit is what section 64A of the Australian Consumer Law allows. It does not apply if you did buy Nimble for personal, domestic or household use.
If something is wrong, tell us. In most cases the quickest fix is for us to fix it.
This clause is subject to clause 12 and applies only as far as the law allows.
Neither of us is liable to the other for loss that was not reasonably foreseeable when you paid, including loss of profit, revenue, opportunity, anticipated savings, goodwill or data.
Our total liability for anything to do with your Nimble purchase is limited to the fees paid or payable by you for it, including any extra rounds bought under clause 7. Your responsibility to us under clause 10 is capped at the same amount, so the risk runs both ways.
That cap does not apply to loss caused by our fraud or deliberate wrongdoing, to a breach of clause 14 about your information and your brief, or to a breach of our promises in clause 9 about ownership, originality and moral rights.
We are not liable for loss you cause yourself, for example by giving us a brief that is wrong, or by using the files in a way we advised against.
Your link is your key. You do not get an account or a password. Your brief, your draft and your download all sit behind an unguessable link we email you. Anyone who has that link can see what is on the page, so treat it like a key and do not post it publicly or forward it to people you would not want seeing your work. Tell us if you think a link has gone astray and we will issue a new one.
We chose that design, so we carry our end of it. We are responsible for the security of our own systems and for sending your link to the address you gave us. If a link is exposed because of something we did, that is on us.
Your information. We collect what we need to run the job and take reasonable steps to keep it secure. We handle personal information in line with Australian privacy law. Some of the services we use to run Nimble, including our payment and hosting providers, store data outside Australia. Email us and we will tell you which and where.
Your brief is confidential. We keep the contents of your brief and anything you tell us in it confidential, other than where we need to disclose it to do the work or where the law requires it. This does not apply to the finished logo once you are using it publicly.
Showing the work. We will not publish your logo until you have launched it publicly. After that we may show it in the Qualls portfolio, case studies and social channels, and say that we designed it. We will not publish anything from your brief that is confidential. You can tell us not to publish it at any time, before or after we have, and we will not ask why. If we have already published it we will take it down, other than from printed material already produced.
Talk to us first. If something is wrong, email us at gday@qualls.co and set out the problem. We will respond and try to sort it out with you. Most things are fixable in an email. This does not stop either of us going to a court or a tribunal urgently if we need to.
Your other options are unaffected. You can always contact NSW Fair Trading, the ACCC, or the consumer tribunal in your own state or territory. Nothing here stops you.
Notices. We contact you at the email address in your brief, and through your private link. You contact us at gday@qualls.co, or by replying to any email we have sent you about your order. An email is taken as received on the next working day after it is sent, and is not taken as received if the sender knows it did not get through.
Things outside our control. Neither of us is responsible for a delay caused by something genuinely outside our control. We will tell you if one happens and give you a new date. If it goes on for more than 30 days, either of us can end the job, and we refund you the price less a fair amount for anything you have actually received.
Changes to these terms. We can update these terms for future purchases. The version that applies to your order is the version published on nimble.qualls.co when you paid.
The rest. These terms, your brief, your Square receipt, and the description of your tier published on nimble.qualls.co at the time you paid are the whole agreement about your Nimble purchase. The longer Qualls agreement used for negotiated projects does not apply to a Nimble purchase. Nothing in this paragraph limits your rights about anything we told you that was misleading. If part of these terms turns out to be unenforceable, the rest keeps working. Not enforcing something once does not mean we have given it up. These terms are governed by the law of New South Wales. The courts of New South Wales have non-exclusive jurisdiction, and nothing stops you bringing a claim in the courts or consumer tribunal where you live.
22 August 2026 Applies to Nimble purchases only. The longer Qualls agreement covers negotiated projects.
